Agreement and eligibility

These Terms & Conditions (“Terms”) are an agreement between you and Shift Key Software LLC (“Shift Key Software,” “Shift Key,” “we,” “us,” or “our”) governing your access to and use of shiftkeysoftware.com, including its pages, articles, project descriptions, résumé materials, downloads, subscription features, and other public content (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. You must be legally capable of agreeing to these Terms. If you use the Site for an organization, you represent that you are authorized to act for it.

Website purpose

The Site describes Shift Key’s website design and development services, showcases selected work, publishes articles, and provides information about Jacob Crandall’s professional background and software projects. Content is provided for general informational, educational, and promotional purposes.

Site content is not legal, tax, accounting, financial, cybersecurity, Salesforce implementation, identity-management, or other professional advice for your specific circumstances. You remain responsible for evaluating information and obtaining qualified advice where appropriate.

Project inquiries and professional services

Contacting us, booking a meeting, requesting an estimate, sharing project information, or receiving a response does not create a client, fiduciary, employment, partnership, agency, or other professional relationship. We are not required to accept a project or continue discussions.

Website design, software development, consulting, maintenance, hosting support, and other services require a separate written proposal, statement of work, or services agreement accepted by the parties. That agreement should define scope, fees, payment schedule, revisions, client responsibilities, third-party costs, intellectual-property ownership, confidentiality, warranties, support, termination, and other project-specific terms. If a signed agreement conflicts with these Site Terms, the signed agreement controls for the covered services.

Any price range, schedule, capability description, or availability shown on the Site or discussed before an agreement is illustrative and may change after discovery. Domains, hosting, software subscriptions, fonts, stock assets, transaction fees, and other third-party costs are not included unless a written agreement says otherwise.

Ownership and permitted use

The Site and its original text, layout, visual system, source presentation, graphics, photographs, logos, case-study materials, and other content are owned by Shift Key, licensed to Shift Key, used with permission, or displayed under applicable law. “Shift Key Software,” the Shift Key logo, and related branding are identifiers of Shift Key Software LLC.

We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site and to print or save a reasonable copy of public pages for personal, noncommercial evaluation. You may share links to public pages and quote brief excerpts with clear attribution.

You may not reproduce a substantial portion of the Site, remove attribution or rights notices, copy the design as a substitute for hiring or licensing it, sell or sublicense Site content, create misleading derivative materials, or use Shift Key branding without prior written permission. Rights not expressly granted are reserved.

Third-party names, logos, screenshots, product interfaces, and linked content remain the property of their respective owners. Displaying them does not imply endorsement unless expressly stated.

Acceptable use

You agree not to:

• violate law, regulation, court order, contract, intellectual-property right, privacy right, or another person’s rights;
• attempt unauthorized access to the Site, hosting environment, database, accounts, source systems, or connected services;
• probe, scan, exploit, bypass, disable, or interfere with security, access controls, rate limits, or availability;
• introduce malware, harmful code, fraudulent requests, spam, or content intended to disrupt or deceive;
• scrape, crawl, copy, or automate requests in a manner that creates excessive load, circumvents controls, or competes with the Site, except for ordinary search-engine indexing and accessibility tools;
• impersonate another person or misrepresent affiliation, origin, endorsement, or authority; or
• use Site content, contact details, or subscription features for unsolicited bulk messages, harassment, surveillance, or unlawful profiling.

We may restrict or block access when reasonably necessary to protect the Site, users, providers, or others.

Messages, project materials, and feedback

You are responsible for information you send and represent that you have the right to provide it. Do not send passwords, access tokens, payment-card data, protected health information, export-controlled material, regulated personal data, or confidential information before we have agreed on an appropriate secure method and any required confidentiality terms.

You retain ownership of project materials you submit. You grant us permission to use them as reasonably necessary to review and respond to your request, prepare a proposal, provide agreed services, prevent fraud, and maintain ordinary business records.

If you voluntarily provide general feedback or suggestions about the Site or our services without identifying them as confidential client material, you permit us to use that feedback without restriction or compensation. This does not authorize us to publish your name, private project details, or confidential information.

Articles, subscriptions, résumé, and downloads

Articles reflect the author’s understanding and opinion as of their publication or update date. Software, vendor documentation, laws, product requirements, security practices, and platform behavior can change. We do not promise that every article will remain complete or current.

When you subscribe to a publication, you authorize us to use your email address to send that publication and related operational messages. You may request removal at any time by emailing jacob@shiftkeysoftware.com.

Résumés, vCards, images, PDFs, and other downloads are provided for their stated informational purpose. You may not modify them to misrepresent a person’s identity, qualifications, employment, endorsement, or contact information.

Third-party websites and services

The Site links to third-party services and websites, including client work, source material, social networks, GitHub, Wave, Cal.com, and communication platforms. A link does not mean that Shift Key controls, guarantees, or endorses the third party. Your use of a third-party service is governed by its own terms, privacy policy, availability, and security practices.

We are not responsible for third-party content, products, transactions, outages, data practices, or damages. Use external links at your own discretion. Affiliate or sponsored relationships will be identified where required; none should be assumed merely from a link.

Availability and disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SHIFT KEY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND SECURITY.

We do not warrant that the Site will always be available, uninterrupted, error-free, secure, complete, or free of harmful components; that defects will be corrected immediately; or that content will produce a particular business, technical, employment, or financial result. Planned maintenance, provider outages, security events, and circumstances beyond our control may affect availability.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally permitted.

Limitation of liability and indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, SHIFT KEY AND ITS OWNER, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE PUBLIC SITE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US, IF ANY, SPECIFICALLY FOR ACCESS TO THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT REPLACE OR REDUCE LIABILITY EXPRESSLY ACCEPTED IN A SEPARATE CLIENT AGREEMENT.

You agree to defend, indemnify, and hold Shift Key and its owner, affiliates, contractors, and providers harmless from third-party claims, liabilities, damages, judgments, and reasonable costs arising from your unlawful misuse of the Site, your violation of these Terms, or material you submit without the necessary rights. We may control the defense of a covered claim, and you agree to cooperate reasonably.

Limitations and indemnity apply only to the extent permitted by applicable law. Nothing in these Terms excludes liability that cannot legally be excluded.

Governing law and disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. Before filing a claim relating to the Site, you agree to send a written description to jacob@shiftkeysoftware.com and allow 30 days for a good-faith attempt to resolve it informally.

Unless applicable law requires otherwise, any court proceeding relating to these Site Terms must be brought in a state or federal court with jurisdiction in Oklahoma County, Oklahoma, and each party consents to that court’s personal jurisdiction and venue. A separate client agreement may establish different dispute terms for services covered by that agreement.

Changes, termination, and general terms

We may modify these Terms by posting an updated version and changing the “last updated” date. Changes apply prospectively when posted unless a later date is stated. Continued use after an update means you accept the revised Terms.

We may suspend or terminate access to the Site at any time when reasonably necessary. Provisions that by their nature should survive—such as ownership, disclaimers, liability limits, indemnification, and dispute terms—remain effective after access ends.

If a provision is found unenforceable, it will be modified to the minimum extent needed or severed, and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a business reorganization or transfer. These Terms and the Privacy Policy are the entire agreement concerning use of the public Site, but they do not replace a separately signed client agreement.
